Stock index futures point to lower start

(Reuters) - Stock index futures pointed to a lower opening on Wall Street on Thursday, with futures for the S&P 500 and the Dow Jones down 0.4 percent, while Nasdaq 100 contracts had shed 0.5 percent at 0827 GMT.

European shares edged lower and the euro hit a fresh 22-month low against the dollar after surveys showed the region's major economies suffered a contraction in their manufacturing activities and the German business climate deteriorated.

EU leaders, advised by senior officials to prepare contingency plans in case Greece decides to quit the single currency, said late on Wednesday they were committed to Greece remaining in the euro zone but urged the country to complete the reforms demanded under its bailout programme.

Disagreements have flared over a plan for mutual euro zone bond issuance and other measures to alleviate two years of turmoil, such as giving countries like Spain an extra year to make the spending cuts demanded of them.

The U.S. Labor Dept releases first-time claims for jobless benefits for the week ended May 19. Economists in a Reuters survey forecast a total of 370,000 new filings, a repeat of last week's figures.

The Commerce Dept releases April durable goods orders, expected to show a 0.5 percent rise compared with a 4.0 percent fall in March.

Fallout from Facebook Inc's messy initial public offering widened on Wednesday as shareholders sued the social network and its bankers while a trading firm revealed a massive loss on the shares and threatened to seek "remedies".

Google Inc's Android mobile platform has not infringed Oracle Corp's patents, a California jury decided, putting an indefinite hold on Oracle's quest for damages in a fight between the two Silicon Valley giants over smartphone technology.

Costco Wholesale Corp posted a higher quarterly profit on an 8 percent increase in net sales. The warehouse club operator posted earnings of $386 million, or 88 cents a share, compared with $324 million, or 73 cents a share a year ago.

HJ Heinz, maker of everything from ketchup and steak sauce to frozen fried potatoes, posts fourth-quarter results, expected to show earnings per share of $0.79 compared to 0.71 one year earlier, according to a Reuters survey.

Tiffany also reports quarterly sales, with Wall Street looking for any pullback in spending on luxury after a bumpy quarter. 1Q EPS are forecast at $0.69 from 0.67.

Rupert Murdoch's News Corp has dropped out of the race to buy ATV television from Turkish group Calik Holding, but Time Warner Inc and Dubai-based Abraaj Capital remain interested in bidding, sources close to the process told Reuters.

Europe's second-highest court on Thursday threw out MasterCard's challenge against a European Union ban on its cross-border credit card fees.

Goldman Sachs is due to hold its annual shareholder meeting, at which shareholders will vote on board members, pay, lobbying spending, cumulative voting and on a new lead director. Chief Executive Lloyd Blankfein may also face questions again about his tenure.

Japan's Nikkei average bounced to a modest gain on Thursday after a last-minute rally, probably triggered by a bout of short-covering in low volume by short-term investors as long-term market players stood still amid euro zone uncertainty.

U.S. stocks staged a late-day reversal on Wednesday, rallying into the close in another volatile session as a sharp rise in materials shares boosted the S&P 500 and gains in Apple helped lift the Nasdaq.

The Dow Jones industrial average <.DJI> dipped 6.66 points, or 0.05 percent, to 12,496.15. The S&P 500 Index <.SPX> edged up 2.23 points, or 0.17 percent, to 1,318.86. The Nasdaq Composite <.IXIC> gained 11.04 points, or 0.39 percent, to 2,850.12.

JPMorgan may tip Wall Street's hand on Volcker

By Rachel Wolcott

LONDON, May 11 (Thomson Reuters Accelus) - JPMorgan Chase & Co's revelation that it had trading losses of at least $2 billion on a failed hedging strategy may have tipped the hand to one way Wall Street executives plan to get around the Volcker Rule.

The incident shows how firms could use the pending rule's hedging exemption to do proprietary trades and still technically be compliant with Volcker. It could allow firms to keep some proprietary trading desks, but portray them to regulators as something else, such as portfolio hedging.

"What does this say about the long-term effectiveness of the Volcker Rule? For all we know, these JPMorgan trades could have been in compliance with the hedging exemption," said Jeff Berman, a partner at Clifford Chance in New York.

The Volcker Rule, part of the Dodd-Frank U.S. financial regulatory overhaul, is meant to prevent risky trading by big banks, which have resisted the measure.

The rule, named after its originator, former Federal Reserve Chairman Paul Volcker, aims to restrict banks from short-term trading of derivatives and other financial instruments for their own accounts. It also aims to limit federally insured, deposit-taking financial institutions from making risky bets, while allowing them to continue market-making and hedging activities.

JPMorgan said the $2 billion mark-to-market losses came from a synthetic credit portfolio run by its Chief Investment Office.

The office is supposed to make broad bets to hedge the bank's portfolios of individual holdings, such as loans to speculative-grade companies. However, some hedge funds have complained recently that it was actually making big proprietary bets.

"If it truly was a hedge they would have made money. It makes no sense that a hedge would go in the same direction as your customer's risk," said former investment banker and hedge fund executive George Michaels, chief of G2 FinTech, a software provider for investment management firms.

If it was a bet, the blowup at JPMorgan's CIO could reveal a means by which investment banks plan to get around Volcker - by wrapping up prop trading to look like risk management.

Said a regulatory lawyer with expertise in the rule: "I don't know if (JPMorgan) intended it that way, but what it does is it points up some weaknesses in Volcker. It also shows a hedging position can be just as risky as a naked position.

"Furthermore, what hedging is, is indeterminate, because there is no requirement in the Volcker rules currently that says the initial position has to be taken at the behest of the customer or has to arise in the banking book or anything like that."

So what might look like a hedge could be a plain old bet. If a bank is hedging a risk - meaning it is acquiring a position to carry the risk of another - it is assumed that the first position was taken as some sort of legitimate business purpose and was taken prior to the second position.

In fact, it is more likely that both the initial position and the hedge were taken at the same time so as not to be uncovered for any period. Theoretically, both trades could be proprietary; but because they offset each other, either completely or partially, they might be ...

JPMorgan gets boost from better economy, trading

By David Henry

(Reuters) - An uptick in trading and dealmaking lifted JPMorgan Chase & Co's first-quarter profits out of the funk of late 2011, but the recovery fell short of the good times the largest U.S. bank enjoyed a year ago.

The results beat Wall Street expectations. Investment banking revenue rebounded from the 2011 fourth quarter as fears about the European debt crisis eased, prompting more companies and investors to return to fixed-income and equity markets.

JPMorgan also got a boost from improvements in credit quality and loan demand - a trend seen in the performance of Wells Fargo & Co as well. The No. 4 U.S. bank separately reported higher first-quarter profit as mortgage banking improved and it set aside less money for bad loans.

"The revenue is what really impressed me," said Joe Terril, founder of Terril & Co, a money manager in St. Louis, Missouri, referring to a 24 percent jump in JPMorgan's total revenue from the fourth quarter.

"It tells me there's more economic activity, maybe, than what we were previously thinking - more demand for credit, more demand for banking services, more business out there," he said.

The results from two of the largest U.S. banks confirm investor optimism that has fed a market rally this year. The KBW index of bank stocks is up more than 20 percent this year, and JPMorgan shares are up 32 percent.

But on Friday, investors appeared no longer satisfied with just tentative signs that the economy is on a path to recovery; they now want to gauge its strength, and JPMorgan's numbers ...

Wall Street Week Ahead: Will earnings spark further declines?

By Ryan Vlastelica

NEW YORK (Reuters) - Since October, estimates for first-quarter earnings growth have tumbled while the S&P 500 has surged. With the earnings season starting next week, the outlook is not as sunny as in previous quarters.

Investors will assess whether slower growth is priced into the U.S. stock market, or if the S&P 500's retreat from Monday's four-year high is the start of a larger decline - if results disappoint.

After the S&P 500's rise of about 30 percent since October, there is concern that buying interest is not strong enough to drive further gains, particularly after soft March U.S. employment figures were released on Friday.

"It seems like we're hitting resistance," said Jack Ablin, chief investment officer of Harris Private Bank in Chicago. "I think the market will grind higher, but it will be at a much slower pace. Earnings and jobs aren't helping."

Friday's nonfarm payrolls report was a disappointment, with just 120,000 jobs added in March, short of expectations for a gain of 203,000 jobs. Stock futures fell 1 percent in a shortened session, with the cash market closed entirely.

Fund managers will look for earnings to offer insight into how companies are faring amid mixed economic indicators and a resurgence of concerns about Europe. Strong results could extend the multi-month rally while weak ones could provide a catalyst for further declines.

"If management commentary indicates that business is holding up despite the apparent slowing of European economies, that would be very encouraging for stocks," said John Carey, portfolio manager at Pioneer Investment Management in Boston, who helps oversee about $260 billion.

"On the other hand, if orders are dropping or consumer spending doesn't appear sustainable, that could lead to some downward pricing action and earnings revisions."

A TIME FOR CAUTION

The latest trends haven't been encouraging. Analysts have trimmed estimates, management teams have grown more cautious, and overall growth rates have fallen sharply.

S&P 500 companies' earnings are seen rising 3.2 percent in the first quarter, according to Thomson Reuters data, compared with growth of 9.2 percent in the fourth quarter and a jump of almost 19 percent in the first quarter of 2011 over the year-ago period.

Analysts have been cutting estimates steadily in the last few months, but the ratio of cuts to increases leveled off in March, Bank of America-Merrill Lynch wrote in a recent note. That indicates "analysts are still cutting estimates, but at a decreasing rate."

Bank of America-Merrill Lynch also pointed out that corporate management teams were becoming more cautious relative to expectations as well. Overall, data from StarMine, a unit of Thomson Reuters, shows most sectors with declining estimates, particularly materials and telecom stocks.

"We feel it is too early to switch to a positive short-term signal, given worrisome trends in guidance and sales revisions," Bank of America-Merrill Lynch wrote to clients.

SanDisk Corp warned on Tuesday that weak demand would hurt its revenue and margins, an outlook that sparked a steep dive in the flash-memory maker's stock and hurt chip makers.

On the positive side, Bed Bath & Beyond posted better-than-expected results late Wednesday, driving its stock to an all-time high on Thursday.

Alcoa Inc will mark the start of the earnings season with results after the closing bell on Tuesday. Google Inc , JPMorgan Chase & Co and Wells Fargo & Co are all slated to report later in the week.

Over the last several weeks, growth estimates have dropped markedly even as economic data has generally shown improved U.S. demand and the equity market has rallied.

On the first of October, first-quarter earnings were seen growing more than 10 percent. While estimates have dropped by more than two-thirds since then, the S&P 500 has climbed 27 percent, raising the question of whether the slowing growth has been priced into the market.

Tobias Levkovich, chief U.S. equity strategist at Citigroup, wrote that the season "may generate the next obstacle for investors," saying they had become "too accustomed" to upside surprises.

LOWERING THE BAR

The second quarter got off to a weak start. The Standard & Poor's 500 Index <.SPX> ended the quarter's first week with a loss of 0.7 percent - its worst weekly performance since December. That was in sharp contrast to the rally on Monday - the quarter's first trading day - when the S&P 500 ended at 1,418.90, its highest close since mid-May 2008.

At Thursday's close, the Dow Jones industrial average <.DJI> was down 1.2 percent for the week, while the Nasdaq Composite Index <.IXIC> was down 0.4 percent.

It is possible that analysts have become too pessimistic.

Warnings have dominated the pre-earnings season. Of the 121 pre-announcements, 68 percent are negative ones, compared with 58 percent in the first quarter a year ago.

"The reduced expectations leave more room for upside surprises," said Michael Mullaney, a portfolio manager who helps manage $9.5 billion at Fiduciary Trust Co in Boston.

However, there is still concern that the recent burst of economic growth will prove transitory - and that demand will sag after a warmer-than-usual winter in the United States.

"Earnings are expected to be weak this quarter, and if you strip out Apple Inc , the picture is even worse. That could be a big headwind, especially at a time when the macro environment is less than friendly."

(Reuters) - Stock index futures pointed to a lower open for equities on Wall Street on Monday, with futures for the S&P 500, the Dow Jones and the Nasdaq 100 falling 0.2 to 0.3 percent.

The Conference Board releases its employment trend index for February at 10.00 a.m. EDT. In January, the index read 105.8.

Federal prosecutors have nixed a tentative $1 billion settlement with Johnson & Johnson , holding out for a bigger settlement with the drugmaker for alleged improper marketing of its Risperdal schizophrenia drug, the Wall Street Journal said.

A previously announced $25 billion settlement between five major banks accused of abusive mortgage practices will be filed in federal court on Monday, people familiar with the matter said.

Swiss watchmaker Swatch Group SA said on Monday Tiffany & Co had served it with a 541.9 million franc ($590 million) counter-claim in a legal dispute with the U.S. jeweler over a severed cooperation agreement.

The World Trade Organization has broadly upheld a ruling that Boeing Co took billions of dollars of unfair subsidies, breathing new life into an epic trade spat that has already faulted European aid to Airbus, people familiar with the matter said.

Anthera Pharmaceuticals Inc said it stopped a late-stage trial of its experimental lead drug to treat a heart disease due to lack of efficacy, sending its shares down 62 percent in aftermarket trade on Friday.

China's trade balance plunged $31.5 billion into the red in February as imports swamped exports to leave the largest deficit in at least a decade and fuel doubts about the extent to which frail foreign demand or seasonal distortion drove the drop.

China's central bank said on Monday the country has ample room to tweak policy to support credit growth in the face of volatile foreign capital flows that will inevitably see market forces play a greater role in determining the value of the yuan currency.

Sealy Corp's second-largest shareholder has called for a shake up of the board, blaming the mattress maker's private-equity backer and largest shareholder, KKR & Co , for the company's poor performance, the Wall Street Journal said.

U.S. airline JetBlue has spoken to the management of Aer Lingus about the possible purchase of a stake in the Irish airline, the Irish Times newspaper reported on Monday, citing informed sources.

The Bretton Woods Institutions, the World Trade Organization and the United Nations Conference on Trade and Development hold a high-level two-day meeting in New York.

European stocks fell slightly on Monday, halting a sharp three-day rally as last week's strong U.S. jobs data dampens expectation of further stimulus from the U.S. Federal Reserve, which holds its next meeting this week.

On Friday, the Dow Jones industrial average <.DJI> advanced 14.08 points, or 0.11 percent, to 12,922.02 at the close. Merck forecasts 1st-quarter EPS below Street view

(Reuters) - Merck & Co Inc said on Tuesday it expects first-quarter earnings per share to be between 95 and 98 cents, excluding items, below the average estimate on Wall Street of $1.01.

Including items, the drugmaker sees earnings per share between 52 cents and 60 cents.

With the euro exchange rate at about $1.31 in the first quarter, currency is expected to have a 1 to 2 percent unfavorable impact on sales in the first quarter.

The company reiterated its 2012 full-year forecast, calling for earnings per share between $3.75 and $3.85, excluding restructuring- and acquisition-related costs, and between $2.04 to $2.30 per share including those items.

Merck said it expects revenue at or near 2011 levels on a constant currency basis. But at current exchange rates, 2012 sales would be reduced by about 2 to 3 percent.

JPMorgan wows Wall Street with Facebook IPO win

By Nadia Damouni

NEW YORK (Reuters) - JPMorgan Chase & Co surprised Wall Street by winning a leading role in Facebook's much anticipated public offering, besting other banks that have competed for months for the coveted position.

Morgan Stanley, JPMorgan and Goldman Sachs Group Inc got the lead roles in the IPO, while Bank of America Merrill Lynch, Barclays Capital and Allen & Co also landed underwriting roles.

The banks were told that they had all made the cut during a commitment meeting on Tuesday, two sources familiar with the situation said. Generally, banks assuming these roles are told months in advance of a company filing for an initial public offering.

Facebook submitted its IPO documents to the U.S. Securities and Exchange Commission on Wednesday. The company expects to raise targeted $5 billion.

Two other sources familiar with the matter said on Wednesday that JPMorgan's months of schmoozing with Facebook executives paid off in the end. JPMorgan is ranked No. 4 among banks that advised on U.S. technology IPOs in 2011.

JPMorgan's Chief Executive Jamie Dimon, veteran rainmaker Jimmy Lee and other senior executives courted Facebook's Chief Operating Officer Sheryl Sandberg and Chief Financial Officer David Ebersman over the last year to help pave the way for the offering. Ebersman is leading the IPO process, one of the sources said.

As recently as December, Dimon visited Facebook's headquarters in Palo Alto, California, to establish its position within the team of bookrunners, the sources said.

Lee has had a business relationship with Sandberg for years, which has allowed him to learn about Facebook's culture among senior executives, one of the sources said.

Both Dimon and Lee saw Facebook as one of the next "Blue Chips," and JPMorgan stepped in early to build a commercial relationship, including spending millions of dollars to help Facebook build a data center, the source said.

The hard-won mandate is likely to bode well for JPMorgan's league table rankings.

Currently, JPMorgan is ranked after Morgan Stanley, Deutsche Bank and Goldman Sachs in the league tables for U.S. listed technology IPOs, according to Thomson Reuters data.

This counts because the banks may be doing the deal more for prestige than money. Facebook's IPO could set a new standard for how much investment banks are willing to lower their advisory fees to win big business [ID:nL2E8CQEDA].

Banks may offer their underwriting services for as little as 1 percent of gross proceeds, sources have said, compared with the 7 percent fee that smaller deals typically fetch, or the 2 or 3 percent that large deals tend to command.

The underwriters established their relationship with the social network company over the last year through investments and loans.

In December 2010 and January 2011, Goldman Sachs purchased 69.5 million shares of Facebook's Class A common stock for $1.45 billion, according to filing. In 2010 and 2011, Morgan Stanley purchased shares of Facebook's Class B common stock.

A year ago, Facebook entered into a credit agreement with five lenders, including Morgan Stanley, JPMorgan, Goldman Sachs, Bank of America Merrill Lynch, and Barclays to borrow up to $1.5 billion in revolving loans, according to the filing.

In September 2011, the credit agreement was amended to increase the borrowing capacity to $2.5 billion, the filing said.

Line drawn in U.S. stocks' battle

By Edward Krudy

NEW YORK (Reuters) - The S&P 500's 200-day moving average marks the line in the sand as the bulls and the bears fight over the U.S. stock market's direction. It will face one of its stiffest tests this week with Greece's debt crisis appearing to reach a climax.

After setting its closing high for the year on April 29, the Standard & Poor's 500 Index <.SPX> has lost about 7 percent. Wall Street typically defines a drop of 10 percent or more from a recent peak as a correction.

The benchmark S&P 500 hit its lowest point right on its 200-day moving average in volatile trading on Thursday. The index then rallied 1 percent from that session low to close on Friday at 1,271.50. It also scored its first weekly gain in the last seven weeks.

At Friday's close, the S&P 500's 200-day moving average was around 1,259. If the level holds, it could be a springboard for stocks to rally.

"We seemed to have bounced off that level of concern that people were watching," said David Joy, chief market strategist at Ameriprise Financial, where he helps oversee $571 billion in assets. "At least for now, that is a little bit of evidence that these problems are solvable and markets could move higher."

The Nasdaq, which often leads market moves, has not fared so well, and that is a worry to investors. It has closed below its 200-day moving average and it kept falling on Friday when other indexes stabilized. It ended the week down 1 percent. From its 2011 closing high on April 29, the Nasdaq <.IXIC> has slid nearly 9 percent -- getting close to a correction.

Bond markets remain anxious about a Greek default.

Most economists are overwhelmingly skeptical that Greece can ever repay its mountain of debt, which has reached 340 billion euros -- or 150 percent of the country's annual economic output.

Reuters' calculations using five-year credit default swap prices from Markit show an 81 percent probability of Greece eventually defaulting, based on a 40 percent recovery rate.

SOME SAY IT'S TIME TO BUY

But for now, it seems stock investors are sanguine. They believe the European Union will rescue Greece without major disruption to markets and are using the drop in equity prices as a buying opportunity.

Bob Doll, chief equity strategist at BlackRock, says he has been using the pullback to reduce his underweight in cyclical stocks such as a Alcoa Inc , Applied Materials , and International Paper .

He has also been cutting his overweight in defensive areas such as healthcare, trimming positions in stocks like United Health and Aetna .

Doll believes the S&P 500 will rally to 1,350 by the end of the year.

"We're going to find Band-Aids and we're going to muddle through these credit problems," Doll said. "The consequences of not following that route could be pretty dire, and I think the interested vested parties are going to step up."

BlackRock is one of the world's largest money managers with $1.56 trillion in equity assets under management. Doll is also lead portfolio manager of BlackRock's Large Cap Series Funds and advises on $317 billion that is actively managed.

TUNING IN TO THE FED

A slew of data showing the United States is on the verge of a slowdown has already done its damage to the market. After the heavy selling of the past several weeks, it seems investors are taking a wait-and-see approach -- for now.

Joy is waiting until after the summer before making big moves.

"There is so much uncertainty that it is probably not wise to make big long bets, but I think that opportunity may well arise toward Labor Day," he said.

In the meantime, any sign that fears may have been overblown could spur a rally. The final reading on first-quarter U.S. gross domestic product, due on Friday, is forecast at a 1.9 percent annual growth rate, a Reuters poll of economists showed. That's slightly above previous estimates. But investors will be on the lookout for a surprise.

"People are not expecting a lot from GDP so should it come a little better than expected, you could see a pretty decent rally," said King Lip, chief investment officer of Baker Avenue Asset Management in San Francisco.

Some analysts attribute much of the market's turmoil to the end of the Federal Reserve's asset-purchase program, known as quantitative easing, or QE2. That will come to a close at the end of the month.

Investors will be looking to Chairman Ben Bernanke to reassure markets after the Fed's two-day meeting ends on Wednesday.

"What investors are really looking for is not a QE3 but a QE2.5, where (the Fed) continues to reinvest the coupons they get from the bonds they purchased," Lip said. "If that's the case, investors will look well on that."

The CBOE Volatility Index <.VIX> or VIX, a gauge of investor anxiety, spiked during the week, but it is still at relatively depressed levels. That could be a sign investors are still too complacent about the risks ahead.

"If the economy is slowing as much as people are thinking, should there be more risk to second-quarter earnings? That's a real question we have to ask," Doll said. "There is risk of complacency -- no question."
